A. Regulatory Terms and Conditions of Order
Binding. Acceptance of a PO is a binding contract and any breach to said contracts are legally binding in the State of Texas with all applicable laws and governing.
Termination of Order. We reserve the right to cancel a PO without penalty if supplier is unable to meet defined requirements.
Delivery. Delivery times are defined on each PO. If the supplier is unable to meet defined deadlines, we must be notified immediately for risk assessment and adjustment. If items are received without proper documentation, items will be placed on hold until required paperwork is received. Payment terms begin when items are received and accepted without issue.
Legal. Supplier agrees to all applicable regulations as stated on the corresponding PO:
International Traffic in Arms Regulations (ITAR). Supplier must follow ITAR export control protocols. Export-controlled data may not be shared with foreign persons without prior approval.
Federal Acquisition Regulations (FAR). Applicable FAR clauses will be listed on each PO. FAR 52.246-2 and 52.203-7 apply to all orders.
Defense Priorities and Allocations System (DPAS). DX = highest urgency, DO = critical to national defense.
Conflict Minerals. Compliance with REACH and RoHS policies.
Information Security. Supplier must maintain a program protecting proprietary and sensitive information. NIST 800-171 is recommended unless otherwise specified.
Safety and Ethical Behavior. Supplier must ensure personnel understand their role in product safety and ethical conduct.
Nonconformance. Suspected nonconforming items may be returned for review. Payment may be held until resolution.
B. General Terms and Conditions of Order
Quality Management System (QMS). Suppliers must maintain a recognized QMS (e.g., ISO 9001, AS9100) or equivalent controls.
Right of Access. We reserve the right to review processes and records at supplier facilities with appropriate notification.
Supplier Evaluation. On-site evaluations may be conducted for approval or performance concerns.
Supplier Performance Monitoring. Delivery and quality performance are monitored. Poor performance may result in corrective action or removal.
Sub-Tier Sources. All requirements must be communicated to sub-tier suppliers.
Records. Records must be retained for traceability for at least 10 years unless otherwise specified.
Counterfeit Prevention. Suppliers must follow AS5553, AS6174, and AS6081 guidance.
Corrective Action. Suppliers must respond promptly to SCAR requests.
Acceptance and Approval. We reserve the right to approve designs, inspections, tests, and key characteristics.
Shelf-Life Controls. Shelf-life items must have at least 75% life remaining.
Shipping Documentation. Proper Bill of Lading or equivalent must accompany delivery.
C. Part & Component Providers / Distribution Centers
Configuration. Parts must match the revision level specified on the PO.
Verification Records. Certificate of Conformance or equivalent documentation is required.
D. Manufacturers
Records. Additional records may include travelers, inspection reports, calibration records, and personnel qualifications.
Operational Controls. Activities must follow specifications and be performed by qualified personnel.
Configuration. Any deviations must be approved prior to shipment.
Verification & Release. Sampling inspection must follow a statistically valid standard (e.g., ANSI Z1.4).
Nonconformance. Nonconforming products must be reported immediately.
Digital Process Definition (DPD) / Model-Based Definition (MBD). Supplier must comply with applicable specifications.
E. Services and Special Process Providers
Process Controls. Special processes must be performed by qualified personnel using controlled equipment.
Calibration. Calibration providers should maintain traceability to NIST standards and preferably ISO 17025 registration.
Inspection & Testing. Coordinate Measuring Systems must be validated periodically and records provided upon request.
a. Full reports are provided, and calibration/validation records of equipment used are available upon request.
b. CMS using DPD/MBD must follow protocol defined in D6.
